Dividends

All dividends paid by Targanta Therapeutics Inc. and Targanta Therapeutics (Ontario) Inc. in 2006 are eligible dividends for purposes of determining the dividend tax credit, with the exception that the dividends paid on any class of shares prior to March 24, 2006 are not eligible dividends for Quebec tax purposes.

All dividends paid by Targanta Therapeutics Inc. and Targanta Therapeutics (Ontario) Inc. in 2007 and subsequent years will be designated as eligible dividends, unless indicated otherwise.
